Jarosław Rudy

He specialises in capital and financial markets law. He assists clients in day-to-day operations and represents their interests before the Polish Financial Supervision Authority, the Stock Exchange, the National Depository for Securities and other institutions.

Legal advisor to alternative venture capital and private equity investment funds. He handles funds from A to Z, that is establishment, investments, divestments (exits), closures. He has worked for many years for funds using Bridge Alpha, PFR Ventures and companies relying on these forms of financing (over 50 transactions).

On a daily basis, he leads ownership change projects in companies of all types (sale of a company, joining of an investor, management buyout, succession, etc.). He is responsible for hundreds of transactions with a total value of billions of zlotys.

Certified Adviser to the NewConnect and Catalyst markets. Lecturer and speaker at seminars, trainings for stock market investors and courses preparing for the professional exams of Investment Advisor, Broker and Investment Company Agent. Author of numerous publications in Gazeta Bankowa, Gazeta Finansowa and Gazeta Prawna.

Professional experience

Attorney at Law associated with the law firm Żyglicka and Partners since 2006. Founder and leader of the firm’s Capital Market Law Department. In 2012, at the age of 28, he was promoted to Partner, and since 2020 he has been the Managing Partner.

Selected projects:

• Representation before the Polish Financial Supervision Authority (FSA) in 50 proceedings for entry into the register of alternative investment company managers (AIFMs) concluded with an entry;
• Merger of GEMSTONE ASI SA and GEMSTONE (over €100 million);
• Project for the purchase by ZMB CAPITAL (owner of Ustronianka sp. z o.o.) of 100 % of the shares in HOOP POLSKA sp. z o.o. (approx. €13 million);
• Reverse takeover project of Erato – Energy sp. z o.o. by Tech Invest Group ASI S.A. (PLN 107 million);
• Joint venture project to extend the Silesian Amusement Park (PLN 120 million);
• Introduction to trading on NewConnect of shares of the following companies – GKS Gieksa Katowice S.A., Ekopol Górnośląski Holding S.A., Blue Tax Group S.A., INDOS S.A., CONSTANCE CARE S.A.

Prizes and Awards:

• Recognised as a Rising Star in the first edition of the ranking by Dziennik Gazeta Prawna and Lexis Nexis in 2012.
• Honoured in the Open-Source Knowledge category in the ranking of the Wizards of the Polish Startup Scene project launched by MamStartup in cooperation with PFR Ventures, which awards the most deserving of the Polish start-up scene 2022/2023.
