Legal Advisors Jarosław Rudy and Ewa Lejman, partners in the Żyglicka and Partners Law Firm, advised Tech Invest Group S.A. (hereinafter referred to as TIG) on the acquisition of Erato Energy sp. z o.o. (hereinafter referred to as Erato) during the execution of the investment agreement and then on the merger of companies.

In accordance with the agreement, TIG will acquire all Erato shares (100% of the share capital) through their purchase from the shareholders of Erato. In return, the shareholders of Erato will acquire newly issued Class 1 shares of TIG proportionally to their shareholding in Erato.

As a result of an in-kind contribution in the form of Erato shares, TIG will become a sole shareholder of Erato. Then, a merger with TIG through the acquisition of Erato will take place.

The valuation prepared by an independent third party and the confirmed auditor opinion indicate that the fair value of Erato is PLN 107,865,233.10.
