Advantages of appropriation of the subject of a registered pledge

Among the methods of satisfying a secured creditor provided for in the Polish Act on the Registered Pledge and the Register of Pledges, particular importance is attached to the appropriation of the pledged asset by the pledgee, which constitutes a special method of enforcing the secured claim regulated in Article 22 of the Act. For many years, this mechanism has attracted considerable attention in legal scholarship and has been of practical interest to legal practitioners. It enables the creditor to acquire ownership of the pledged asset without the need to initiate enforcement proceedings. Its practical attractiveness stems primarily from the following advantages:

Speed of Satisfaction of the Creditor

The principal advantage of this method of enforcement is the possibility of recovering the secured claim quickly. By reducing the number of procedural steps required to satisfy the creditor, the claim may be enforced significantly faster than through traditional judicial enforcement proceedings. This is particularly important in commercial transactions, where the prompt recovery of capital contributes to maintaining the creditor’s liquidity, reduces the risk of depreciation of the pledged asset, and limits the likelihood of further accumulation of the debtor’s liabilities.

No Need for Enforcement Proceedings

Another significant advantage of this mechanism is that it enables the creditor to satisfy its claim without resorting to judicial enforcement proceedings. Pursuant to Article 22 of the Act on the Registered Pledge and the Register of Pledges, appropriation is permissible provided that the statutory conditions are fulfilled and the parties have expressly reserved this right in the pledge agreement. The creditor acquires ownership by submitting a written declaration of appropriation to the pledgor, thereby eliminating the need to obtain an enforceable title, initiate enforcement proceedings, or conduct a judicial auction.

Protection Against Depreciation of the Pledged Asset

The appropriation mechanism reduces the risk that the pledged asset will lose value as a result of the passage of time. Unlike judicial enforcement by public auction, which is often lengthy and exposes the pledged asset to further depreciation, appropriation enables the creditor to assume control over the asset immediately after the secured obligation becomes due. This is of particular importance in the case of movable property that is susceptible to rapid technological or physical depreciation. Consequently, the creditor acquires the pledged asset at a value that most closely reflects its economic value at the time of the debtor’s default.

Flexibility of the Legal Relationship

The appropriation of the subject of a registered pledge is distinguished by its flexibility, as its application depends on the parties having expressly agreed upon this method in the pledge agreement. Thus, the parties determine at the time of concluding the agreement whether the creditor will be entitled to rely on this method of enforcement. This mechanism allows the security arrangement to be tailored to the nature of the secured claim and the characteristics of the pledged asset, thereby enhancing contractual freedom and increasing the predictability of the legal relationship.

Reduced Formalism and Simplified Procedure

A key advantage of this mechanism is its relatively informal nature, which stands in marked contrast to the strict procedural requirements governing judicial enforcement. Dispensing with complex, multi-stage official procedures significantly simplifies the entire enforcement process. As a result, the procedure becomes more predictable for both parties, while the uncertainty and risks typically associated with judicial auctions are substantially reduced.

Reduction of the Costs of Debt Recovery

The appropriation of the subject of a registered pledge involves lower financial costs than traditional methods of enforcing secured claims. This mechanism enables the creditor to avoid many of the expenses associated with conventional enforcement, particularly those arising from the organisation of the sale of the pledged asset and the performance of numerous procedural acts. Consequently, a greater proportion of the value of the pledged asset may be applied directly towards satisfaction of the secured claim, thereby enhancing the overall economic efficiency of the security. The reduction of enforcement costs is especially important where the pledged assets are of considerable value, since additional expenses could significantly diminish the extent of the creditor’s recovery.

The appropriation of the subject of a registered pledge constitutes a legal institution that fundamentally strengthens the position of the secured creditor. By combining economic efficiency with procedural simplicity, it represents a highly effective alternative to traditional judicial enforcement. Since its application depends upon the parties’ prior agreement, the contractual balance between the debtor and the creditor is preserved. In commercial practice, it is precisely this flexibility that often determines whether a security interest remains merely a contractual provision or becomes an effective instrument for protecting the creditor’s capital.
